  • Delayed payments may result in project delays or suspension of service.
  • Codefreex reserves the right to charge late payment fees.

 

5. Intellectual Property

Unless otherwise stated, all materials, including designs, content, code, graphics, and intellectual property created by Codefreex remain our property until full payment is received. Afterward, rights may be transferred as specified in the project agreement.

You may not reproduce, redistribute, or exploit any content from this website without express written permission from Codefreex.

 

6. Confidentiality

Any information shared between Codefreex and the client, including business data, trade secrets, and project assets, shall be treated as confidential and shall not be disclosed to third parties without written consent.

 

7. Limitation of Liability

To the maximum extent permitted by law, Codefreex shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use of our website or services. We do not guarantee specific business outcomes from the use of our services.

 

8. Warranties

All services are provided “as is” without warranty of any kind. While we aim for excellence, we make no guarantees regarding uptime, traffic increases, search engine rankings, or sales unless explicitly stated in a separate service-level agreement.

12. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts located in Jharkhand.

 

13. Internal Employee Policy: Legal Rights and Termination

Codefreex is committed to cultivating a fair, equitable, and legally compliant workplace. All internal employees retain the statutory legal rights afforded to them under applicable local, state, and federal labor laws, including protections related to workplace safety, fair compensation, and equal opportunity. Employment at Codefreex is governed by the terms set forth in individual employment contracts and our comprehensive Employee Handbook. To ensure mutual protection and future-proof our operations against legal liabilities, employees are required to strictly adhere to all internal company policies, confidentiality agreements, and intellectual property assignments. Codefreex continuously updates its practices to remain in full compliance with evolving employment legislation, reserving the right to modify internal policies as necessary to protect both our workforce and our business interests.

In the event of separation from the company, Codefreex enforces a standardized termination policy to ensure smooth operational transitions. Either the employee or Codefreex may initiate the termination of the employment relationship, subject to a mandatory 30-day notice period. Codefreex explicitly reserves the right, at its sole discretion, to hold the departing employee to the full 30-day notice period, to waive the notice period by providing equivalent severance pay in lieu of notice, or to terminate employment immediately and without notice in cases of termination for cause (e.g., severe misconduct, breach of contract, or violation of company policy). Upon termination, all company property must be returned, and all post-employment obligations—including non-disclosure and confidentiality agreements—remain fully enforceable to protect Codefreex from future legal or operational disruptions.

Document Retention, Clearance, and Full & Final Settlement

Throughout the duration of employment and upon separation, all documents, digital assets, client data, and intellectual property created, accessed, or provided by Codefreex remain the exclusive property of the company. Upon resignation or termination, the departing employee is strictly required to surrender all company-owned assets, hardware, and confidential documentation. Codefreex expressly reserves the right to withhold official exit documentation—including, but not limited to, Experience Letters, Relieving Letters, and No Objection Certificates (NOC)—as well as the Full and Final (F&F) financial settlement, until the mandatory 30-day notice period has been satisfactorily completed, a thorough handover process is finished, and all company property and proprietary documents have been safely returned. Failure to comply with the handover process or unauthorized retention of company data may result in the forfeiture of exit documents and further legal action to recover company assets.
